These Terms of Service ("Terms") are a binding legal agreement between you ("you", "your", "Customer") and ZSell Inc ("ZSell", "we", "us", "our"), governing your access to and use of the ZSell website at zsell.ai and all software products we offer, including ZSell Vision (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" and "your" also apply to that organization.
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Services. By using the Services, you represent and warrant that you meet these requirements.
ZSell provides software tools and intelligence services designed to help e-commerce sellers with product research, market analysis, listing optimization, and related operations on online marketplaces including Amazon. The specific features and capabilities of each product vary and may change over time.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will provide reasonable advance notice of material changes where feasible.

Certain features of the Services require a paid subscription. Current pricing is available on our website. By subscribing, you authorize us (via our payment processor) to charge the recurring subscription fee.
Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). Unless otherwise specified, subscriptions automatically renew at the end of each billing period.
Except where required by law, fees are non-refundable. Cancellation of a subscription stops future billing but does not entitle you to a refund for the current billing period.
We may change subscription prices from time to time. We will notify you of any price changes at least 30 days in advance. Price changes take effect at the start of your next billing period after the notice.
Prices do not include taxes unless stated otherwise. You are responsible for any applicable sales, use, or value-added taxes.

You retain all rights to the data you input into or generate through the Services, including seller information, product data, and analysis results. We do not claim ownership of your data.
You grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display your data solely for the purpose of providing and improving the Services to you.
Some features of the Services integrate with third-party data sources (including Amazon's Selling Partner API and commercial data providers such as JungleScout). Your use of these features is subject to the applicable third-party terms and the authorizations you grant. See our Data Protection Policy for details.
If you provide feedback, suggestions, or ideas about the Services, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation.
The Services, including all software, text, graphics, logos, and content (excluding your data), are owned by ZSell Inc or our licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes, subject to these Terms.
ZSell, ZSell Vision, and related names and logos are trademarks of ZSell Inc. You may not use our trademarks without our prior written consent.
The Services may integrate with or link to third-party services (such as Amazon, JungleScout, Stripe, and others). We are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is governed by their respective terms and policies.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY DATA OR ANALYSIS PROVIDED WILL BE ACCURATE OR COMPLETE; OR THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS.
DECISIONS YOU MAKE BASED ON DATA, ANALYSES, OR RECOMMENDATIONS PROVIDED BY THE SERVICES ARE YOUR SOLE RESPONSIBILITY. THE SERVICES ARE DECISION-SUPPORT TOOLS, NOT SUBSTITUTES FOR PROFESSIONAL JUDGMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZSELL INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless ZSell Inc and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
You may cancel your subscription at any time through your account settings. Cancellation stops future billing but does not entitle you to a refund for the current billing period.
We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or engage in behavior that we reasonably believe poses a risk to us, our users, or third parties.
Upon termination, your right to use the Services ends immediately. We may retain your information as described in our Privacy Policy and as required by law. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Fort Bend County, Texas, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. When we make material changes, we will notify you by email (if you have an account) and by posting the updated Terms on our website. Continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
These Terms, together with our Privacy Policy and Data Protection Policy, constitute the entire agreement between you and ZSell Inc regarding the Services and supersede any prior agreements.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
